General terms and conditions of sale :
The general terms and conditions of sale described below detail the rights and obligations of the Jolly-Ant company and its customer in connection with the sale of the following goods:

Insects, in particular ants, as well as all materials inherent to their breeding

Any service provided by Jolly-Ant therefore implies the buyer's unreserved acceptance of these general terms and conditions of sale.

Prices of goods :
The prices of goods sold are those in force on the day the order is taken. They are denominated in euros and calculated inclusive of all taxes. Consequently, they are already increased by the VAT rate, but not by the transport costs applicable on the day the order is placed.

Jolly-Ant reserves the right to modify its prices at any time. However, it undertakes to invoice the goods ordered at the prices indicated when the order is registered.

Discounts and rebates :
The prices quoted include any discounts and rebates that Jolly-Ant may grant on the basis of its results or the assumption by the purchaser of certain services.

Discount :
No discount will be granted for early payment.

Terms of payment:
Orders can be paid for :

Paypal,
or by credit card,
Upon registration of the order, the buyer must pay the total amount of the invoice, including shipping costs.

Late payment :
In the event of total or partial non-payment for goods delivered on the day of receipt, the buyer must pay the company <Social Name> a late payment penalty equal to three times the legal interest rate.

The legal interest rate applied is that in force on the day of delivery of the goods.

This penalty is calculated on the amount including tax of the sum still due, and runs from the due date of the price without any prior formal notice being necessary.

Resolutive clause :
If, within fifteen days of the implementation of the "Late payment" clause, the buyer has not paid the outstanding sums, the sale will be automatically cancelled and may give rise to a claim for damages against Jolly-Ant.

Effective date and duration of contract :
The contract takes effect from the date of signature of the special conditions and lasts for 12 months, unless otherwise stipulated in the special conditions and/or specifications. On expiry, unless terminated by either party by registered letter with acknowledgement of receipt at least one month prior to expiry, the contract will be renewed for successive terms of one year each.

Retention of title clause :
Jolly-Ant retains ownership of the goods sold until full payment of the price, in principal and in accessories. In this respect, if the purchaser is the subject of receivership or liquidation proceedings, Jolly-Ant reserves the right to claim, as part of the receivership proceedings, the goods sold and remaining unpaid.

Delivery:
Delivery is made :

Either by sending a notice of availability in store to the buyer,
Or to the place indicated by the purchaser on the order form.
The delivery time indicated on the order form is given as an indication only and is not guaranteed.

Consequently, any reasonable delay in the delivery of products shall not entitle the purchaser to :

Allocation of damages,
Cancellation of the order.
Transport risk is borne entirely by the purchaser.

In the event of missing or damaged goods in transit, the purchaser must make all necessary reservations on the order form upon receipt of said goods. These reservations must also be confirmed in writing within five days of delivery, by registered mail with acknowledgement of receipt.

Force majeure :
Jolly-Ant may not be held liable if the non-performance or delay in performance of any of its obligations described in these general terms and conditions of sale is due to force majeure. In this respect, force majeure is defined as any external, unforeseeable and irresistible event within the meaning of Article 1148 of the French Civil Code.

Confidentiality:
All information, commercial or of any other nature whatsoever, that either party may have gathered on the other party, in any form whatsoever and notably orally, in particular during meetings and interviews, is confidential. Each party undertakes, on the one hand, not to divulge or communicate to any person all or part of this confidential information and, on the other hand, to take all steps to ensure that this confidentiality is preserved.
Each party, as beneficiary, undertakes not to use the confidential information for any purpose other than the performance of the contract. The parties undertake not to claim any industrial, literary or artistic property rights on the confidential information or on the knowledge established on the basis of this confidential information. Documents of any kind supplied by the parties remain the property of the party who supplied them.
The parties undertake to return to each other, on simple request or in the event of termination of the contract, all documents, parts or products communicated and not to keep any copy or reproduction thereof. The obligations defined in this article will remain in force as long as the confidential information has not fallen into the public domain.
Non-solicitation of personnel :
The parties undertake not to employ, directly or indirectly, or to have employed by a third party, directly or indirectly, having relations of any kind with one of the parties or carrying on an activity identical or similar to that of one of the parties, a collaborator or employee of the other party during the term of the contract and for a period of twelve (12) months from its expiry, whatever the reasons for its termination or non-renewal.
The party failing to comply with this obligation will compensate the other party by paying damages equal to three (3) times the gross annual salary received by the collaborator or employee hired.
Miscellaneous stipulations :
Any time limit set by these general terms and conditions expires at twenty-four p.m. on the last day. Any time limit which expires on a Saturday, Sunday, public holiday or non-working day is extended to the next working day. Should any provision of these terms and conditions be deemed null and void, it shall be deemed unwritten and shall not invalidate the other provisions.
Access to computerized information :
In accordance with law n°78-17 of January 6, 1978, the Customer may request communication of information concerning him or her and have it rectified.
Competent court:
Any dispute relating to the interpretation and execution of these general terms and conditions of sale is subject to French law.
Failing amicable resolution, the dispute will be referred to the Poitiers (France) Commercial Court.
